This agreement is made and entered into by and between:
HOLISTIC WELLNESS LIMITED
and
any individual who accesses the website, purchases services, and/or participates in in-person and/or virtual training programmes.

DEFINITIONS
Training
“Training” refers to any programme and/or form of physical, mental, energetic and/or contemplative practice provided through textual, visual, verbal and/or physically assisted instruction by the Teacher during, including but not limited to, classes, workshops, teacher training courses, retreats, private sessions, in-person and/or virtual, online classes, live or recorded broadcasts, podcasts, conferences, and any related activities occurring before, during or after such events. Training further includes self-practice undertaken by the participant, whether independently or guided by manuals, recordings, digital content or other learning materials provided by the Teacher and/or the Company.
Teacher
“Teacher” refers to Dario Calvaruso, founder of the Navakaraṇa Method, and/or any faculty member formally appointed to conduct the Training (hereinafter referred to as “the Teacher”). This definition includes, where applicable, assistants, instructors, alumni and/or students authorised by the faculty to provide instruction, guidance, physical assistance, adjustments, supervision or other teaching-related roles in connection with the Training.
The Method
“The Method” refers to Navakaraṇa, including but not limited to its variants such as Navakaraṇa Tantra, Navakaraṇa Vinyāsa and Navakaraṇa Suizen, together with its principles, structures, pedagogical framework and associated practices.
Company
“Company” refers to Holistic Wellness Limited, including its intellectual property, trademarks, brands, platforms and authorised representatives (hereinafter referred to as “the Company”).
Studio
“Studio” refers to any individual, entity or organisation, including companies or venues, that organise, host, facilitate and/or provide space for the Training, whether in-person or online (hereinafter referred to as “the Studio”).
TRAINING — GENERAL TERMS AND CONDITIONS
Terms and Conditions — Worldwide
By registering for the Training, you expressly acknowledge, understand, and agree that your participation is voluntary, that the Training involves inherent physical, mental, and emotional risks, and that you assume full responsibility for your participation, as further detailed in the Waiver of Liability below.
1. Safety and Health
1.1 You confirm that you have consulted a qualified medical practitioner and have been advised that you are medically fit to participate in the Training.
1.2 You confirm that, within two (2) days prior to commencement, you have verified that you are free from influenza, exanthematous, respiratory, contagious, or transmissible diseases.
1.3 If you are pregnant, under medication, or have any medical condition, injury, disability, or prior health concern, you confirm that you have sought professional medical advice and accept full responsibility for your participation.
1.4 You agree not to participate if you are suffering from any infection or contagious illness.
1.5 You acknowledge that the Training involves physical exertion and practices that may carry inherent risks, including but not limited to strain, injury, aggravation of pre-existing conditions, or other physical or emotional effects.
1.6 You agree not to bring or use illicit drugs, alcohol, or tobacco products within the premises.
1.7 You agree to disclose any relevant medical condition, injury, or pregnancy to the Teacher and/or Studio prior to commencement.
1.8 You acknowledge that you progress at your own pace and accept full responsibility for regulating your participation.
1.9 You agree to listen to your body, modify or stop practices as needed, and immediately inform the Teacher of any pain, discomfort, dizziness, or distress.
1.10 You accept full responsibility for any injury, harm, or loss you may sustain or cause to yourself or others during the Training, including travel to and from the venue and free time between sessions.
2. Attitude and Commitment
2.1 You acknowledge that the Training may be physically, mentally, and emotionally demanding.
2.2 You voluntarily accept the demands of the Training and agree to participate with full awareness, commitment, and personal responsibility.
2.3 You agree to conduct yourself respectfully, responsibly, and in accordance with the ethical and disciplinary standards set by the Teacher.
3. Etiquette and Conduct
3.1 You agree to arrive at least fifteen (15) minutes prior to the scheduled start time.
3.2 You agree to attend fully and depart only at the conclusion of sessions unless authorised.
3.3 You agree not to record, reproduce, or distribute any part of the Training.
4. Discipline and Programme Integrity
4.1 You acknowledge that discipline is an integral component of the Training.
4.2 The Teacher reserves sole discretion to apply disciplinary measures, including suspension or removal, in cases of misconduct, negligence, unjustified absence, or insufficient commitment.
4.3 You agree that removal for disciplinary reasons results in immediate termination of participation with no entitlement to refunds, in whole or in part.
5. Media and Marketing Consent
5.1 You acknowledge that photographs, audio, or video recordings may occur during or around the Training.
5.2 You grant irrevocable permission for the use of your image or likeness for legitimate educational and promotional purposes without compensation.
6. Personal Property Disclaimer
6.1 You acknowledge sole responsibility for your personal belongings.
6.2 You agree that the Teacher, Company, Studio, and staff bear no responsibility for loss, theft, or damage.
The above Terms and Conditions are expressly incorporated into and form an integral part of the Waiver of Liability, Release, and Assumption of Risk set forth below.
PAYMENTS — TERMS AND CONDITIONS
Payment Terms, Cancellation, and Refund Policy — Worldwide
1. Prices and Registration
1.1 All prices, tuition fees, promotions, and special offers are subject to change without prior notice.
1.2 Offers available at the time of enquiry or viewing may not be available at a later date. Prices may increase.
1.3 The final price applicable to the participant is the price displayed and confirmed at the time of registration and full payment.
1.4 Registration is confirmed only upon receipt of payment in accordance with the applicable payment terms.
2. Final Sale and Non-Refundability
2.1 All payments, including deposits and instalments, are final and non-refundable.
2.2 No refunds shall be issued under any circumstances, including but not limited to:
- illness or medical conditions;
- injury;
- pregnancy;
- personal, professional, or travel-related issues;
- visa refusal or delay;
- force majeure events affecting the participant.
2.3 Refunds are not provided once payment has been made and registration confirmed.
3. Credit Toward Future Trainings (Discretionary)
3.1 At the sole discretion of the Company, payments may be credited toward a future training in the following limited cases:
- a written request is submitted;
- the request includes reasonable justification supported by documentation from a qualified medical professional;
- the request is received no later than fourteen (14) days prior to the commencement of the training.
3.2 Credit, if granted, is:
- non-transferable;
- time-limited as specified by the Company;
- subject to availability and future programme schedules.
3.3 Credit does not constitute a refund and has no cash value.
4. Transfers and Substitutions
4.1 Registration and enrolment are personal.
4.2 Transfer of enrolment to another participant is not permitted under any circumstances.
5. Postponement or Cancellation by the Organiser
5.1 If a training is postponed, participants will be informed by email.
5.2 If the participant is unable to attend the rescheduled dates, they must notify Navakaraṇa in writing no later than fourteen (14) days prior to the rescheduled commencement date to request credit toward a future training.
5.3 If the training is cancelled by the Teacher or the Company:
- payments made will be refunded minus a fifteen percent (15%) processing and administrative fee;
- refunds will be issued using the original payment method where possible.
6. Registration Availability
6.1 Participants are responsible for verifying that registration for a programme remains open before making payment.
6.2 Payments made toward programmes for which registration has closed are non-refundable.
6.3 Such payments may be credited toward future trainings once registration opens, subject to availability.
7. Instalment Payment Terms
7.1 Where instalment payment is offered, the participant agrees that:
a) the first instalment must be paid before the end of the early-bird period, where applicable;
b) the first instalment is strictly non-refundable and non-transferable;
c) the first instalment cannot be used as credit toward other trainings;
d) full payment of all instalments is required for admission to the programme;
e) the full tuition fee must be paid no later than one hundred eighty (180) days prior to the commencement of the programme, unless otherwise stated on the official programme page.
7.2 Failure to complete full payment by the required deadline may result in loss of the reserved place without refund.
8. Currency and Payment Methods
8.1 All payments shall be made in United States Dollars (USD) unless otherwise approved in writing.
8.2 Requests to pay in alternative currencies must be approved in advance by Navakaraṇa via written confirmation.
8.3 For payments made by bank transfer:
- the participant is responsible for all bank charges and transfer fees;
- proof of payment must be provided to enable verification.
9. Price Inclusions and Exclusions
9.1 The price paid includes course tuition only, unless expressly stated otherwise in the programme description.
9.2 The price excludes, without limitation:
- accommodation;
- food and beverages;
- travel and transportation;
- visas;
- vaccinations or medical requirements;
- insurance of any kind, including travel and medical insurance.
9.3 For retreats or specific teacher trainings where accommodation and/or meals are included, details will be clearly stated in the official programme description on the website.
INTELLECTUAL PROPERTIES — GENERAL TERMS AND CONDITIONS
Intellectual Property Rights ~ Worldwide
By purchasing, registering for, and/or participating in any of our Training programmes (whether in-person or virtual), and/or by logging into this website, you confirm that you have read, acknowledged, understood, and agree to be bound by our Intellectual Property Rights Statement:
The manuals provided during the course and all of the materials contained within website, social networks and online platforms are protected by intellectual property right laws. All of the materials and content, including but not limited to the methodology contents, terminology related to the methodology, design, appearance, images, videos, course materials, downloads and any other information used to promote or provide the courses. All copyright, trademarks, design rights, patents and any other intellectual property rights (whether registered or unregistered) provided during the course/s and all of the materials published on online platform/s are owned by Holistic Wellness Ltd, licensed to us or we are entitled to use it and such rights are reserved.
You may not extract and/or re-utilise parts of the content without our express written consent. In particular, you may not utilise any recording system during the course or data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation of any substantial parts of the content of any, without our express written consent. You may also not reproduce and or publish any of our course manual and media, templates, audio, online documentation and product pricing and listings without our express written consent.

1.Navakaraṇa Intellectual Property (IP) –Teaching Authorisation, Rights, and Obligations
1.1 Purpose and Scope
This chapter forms an integral and binding part of all Navakaraṇa Teacher Training Course (TTC) Manuals and is formally accepted and signed by the trainee at the time of registration for the Teacher Training Course. Registration constitutes explicit acknowledgement, understanding, and acceptance of the terms, conditions, rights, and obligations set forth in this chapter.
It defines the conditions under which Navakaraṇa Intellectual Property may be used, transmitted, and represented by Navakaraṇa Authorised Teachers.
Navakaraṇa Intellectual Property is not merely a legal asset; it is the expression of a coherent method, lineage, and pedagogy. Its use is therefore governed by both legal responsibility and ethical duty.
1.2 Grant of Teaching Authorisation
1.2.1 Upon successful completion of the relevant Teacher Training Course and formal authorisation, the graduate is recognised as an Authorised Navakaraṇa Teacher.
1.2.2 Teaching authorisation grants the teacher the right to transmit Navakaraṇa strictly within the scope of the training completed and in accordance with the teacher’s certified level.
1.2.3 Teaching authorisation:
- – is personal, non-transferable, and revocable;
- – does not confer ownership of any Intellectual Property;
- – remains valid only while the teacher is in good standing with Navakaraṇa.
1.3 Free Licensing of Intellectual Property
1.3.1 Authorised Navakaraṇa Teachers are granted a free (royalty-free) licence to use specific Navakaraṇa Intellectual Properties exclusively for authorised teaching purposes.
1.3.2 Free licensing is granted as an act of trust and lineage transmission and is subject to strict adherence to the terms defined in this manual.
1.4 List of Intellectual Property in Free Licensing
1.4.1 The use of Intellectual Properties under free licensing is limited exclusively to the following IP and authorised use.

1.4.2 Any Intellectual Property not explicitly listed above is excluded from free licensing.
1.5 Scope of Authorised Use
1.5.1 In-Person Teaching
- Group classes and/or one-to-one sessions;
- based exclusively on the modules and series completed in the TTC;
- in accordance with the teacher’s authorised level.
1.5.2 Studio Scheduling and Promotion
Use of Navakaraṇa names and syllabus references in:
- studio schedules;
- official websites;
- social media platforms;
- printed flyers and posters.
1.5.3 Online Private Teaching (Level 2 and Above Only)
Level 2 and above teachers may offer online private sessions exclusively to other Navakaraṇa graduates, provided that:
- the teacher is updated with the latest official curriculum;
- only content already completed by the receiving graduate is taught;
- sessions are not recorded, stored, or shared in any form.
1.5.4 Promotional Media and Social Networks
Teachers may create and share stories, posts, or short reels (maximum 60 seconds) showing Navakaraṇa practice for promotional purposes only.
1.5.5 Mandatory attribution must include one or more of the following:
- @navakarana;
- @dariocalvaruso;
- Credit line: Navakaraṇa – Dario Calvaruso.
1.6 Tagging, Linking, and Official Listings
1.6.1 Every Authorised Navakaraṇa Teacher using the syllabus, fully or partially, shall include @navakarana in their Instagram bio.
1.6.2 Every Authorised Teacher shall be listed on the official Navakaraṇa Teacher Profile, which redirects enquiries directly to the teacher and displays their online presence.
1.6.3 Authorised Navakaraṇa Studios and Academies shall be listed on the official Navakaraṇa website with address, website, and social media profiles.
1.7 Professional and Ethical Conditions
1.7.1 Respect of Intellectual Property
All manuals, curricula, sequences, terminology, music, images, and digital contents are the intellectual property of Navakaraṇa and its author and founder, Dario Calvaruso.
1.7.2 No Rebranding
Teachers shall not rename, rebrand, repackage, or present Navakaraṇa content, methods, or materials as their own, even if partially modified.
1.7.3 No Alteration of Curriculum
The names of syllabi, sequences, programmes, and pedagogical structures must be delivered exactly as provided in the latest official e-manuals.
1.7.4 No Plagiarism
Any partial or full reproduction of Navakaraṇa materials outside authorised contexts and/or without proper attribution constitutes plagiarism and a breach of this licence.
1.7.5 Use with Written Permission
Explicit written authorisation is required before translating, adapting, publishing, or commercially using any Navakaraṇa copyrighted content, including names, logos, music, images, text, audio, or video.
1.7.6 Professional Ethics
All teachers must act in accordance with the principles outlined in Ethics and Roles for Learning and Teaching, and embody the values of Navakaraṇa Dharma: Dharma (virtue), Honesty, Attitude, Rigour, Mindfulness, Authenticity.

1.8 Revocation of Teaching Authorisation and Free Licensing
1.8.1 Navakaraṇa reserves the exclusive and discretionary right to revoke teaching authorisation and free licensing, with immediate effect, in the event of any of the following:
- breach or non-compliance with these Terms and Conditions;
- plagiarism, unauthorised reproduction, or misuse of Navakaraṇa Intellectual Property;
- misrepresentation, distortion, or misattribution of the Navakaraṇa method, curriculum, or lineage;
- ethical, professional, or conduct-related misconduct inconsistent with Navakaraṇa standards.
1.8.2 Upon revocation, the individual shall immediately and permanently cease all use, transmission, representation, promotion, and reference to Navakaraṇa Intellectual Property in any form, whether in-person, online, digital, or physical.
1.9 Binding Nature
1.9.1 Completion of the Teacher Training Course and continued use of Navakaraṇa Intellectual Property constitutes full understanding and acceptance of all terms outlined in this chapter.

WAIVERS OF LIABILITIES
1. Waiver of Liability – Virtual Academy, Downloads and Digital Materials
All materials made available for download, including any attachments, are confidential and intended for the private use of registered users of www.navakarana.com and authorised participants in Navakaraṇa trainings only.
While every reasonable effort is made to maintain the website and digital materials free from viruses, errors, or harmful components, Navakaraṇa makes no warranty or guarantee that such materials are free from defects, interruptions, or inaccuracies. Navakaraṇa shall not be held responsible or liable for the website being temporarily unavailable due to technical issues beyond its control.
Any material downloaded or otherwise obtained through the use of this website and/or manuals provided during the training is accessed entirely at the user’s own discretion and risk. The user assumes full responsibility for any damage to computer systems, devices, or loss of data resulting from the download, access, or use of such materials.
2. Waiver of Liability — Medical Disclaimer and Scope of Instruction
Holistic Wellness Limited and Navakaraṇa does not provide medical advice, medical instructions, medical therapy, or medical treatment.
All information, including but not limited to text, images, graphics, audio, video, and other materials contained on this website and/or in manuals provided during the training, is supplied for educational and informational purposes only. Such information is not intended as, and shall not be relied upon as, a substitute for professional medical advice, diagnosis, or treatment.
Navakaraṇa Teachers and trainees are not authorised to provide medical advice, diagnosis, or treatment by virtue of their participation in the training or use of Navakaraṇa materials. If a student or client seeks medical advice, teachers must direct them to consult a qualified medical doctor or licensed healthcare provider regarding any medical condition, treatment, or healthcare regimen.
Users and teachers must never disregard, avoid, or delay seeking professional medical advice from a qualified healthcare provider because of information contained in, referenced by, or inferred from this website and/or manuals provided during the training.
For the avoidance of doubt, the term “therapy” used in this website and/or training materials is a literal translation of the Sanskrit word bheṣaja and is used in a non-medical, pedagogical, and traditional context only. It does not denote medical therapy and must not be interpreted as an alternative to professional medical advice, diagnosis, or treatment.
3. Waiver of Liability — Worldwide Participation and Assumption of Risk
By purchasing, registering for, and/or participating in any Navakaraṇa Training, the participant confirms that they have read, understood, and expressly agreed to the following:
a) No Medical Care or Medical Advice
The Training is educational and instructional in nature and does not constitute medical advice, medical instruction, medical therapy, or medical treatment. Participation is not a substitute for professional healthcare, and may be inappropriate or unsafe under certain medical or health conditions.
b) Voluntary Participation and Assumption of Risk
Navakaraṇa Yoga practice and related physical activities (the “Training”) involve physical exertion and inherent risks, including the possibility of injury, illness, disability, or, in rare cases, death. Participation is voluntary, and the participant knowingly and freely assumes all risks associated with participation, to the fullest extent permitted by applicable law.
c) Limitation of Liability (Mandatory Legal Carve-Out)
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct. Subject to this mandatory legal limitation, Navakaraṇa, the Teacher, the Company, and the Studio shall not be liable for any loss, injury, damage, or claim arising from participation in the Training.
d) Release and Waiver
To the maximum extent permitted by applicable law, the participant waives, releases, and discharges Navakaraṇa, the Teacher, the Company, and the Studio, and each of their respective directors, officers, employees, volunteers, assistants, representatives, and agents, from any and all claims, demands, actions, or liabilities of any kind arising out of or related to participation in the Training.
e) Indemnification and Hold Harmless
The participant agrees to indemnify, defend, and hold harmless the above-mentioned persons and entities from any and all claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from the participant’s participation in the Training or from their own acts or omissions, to the fullest extent permitted by law.
f) Travel and Ancillary Activities
This waiver applies to participation in the Training and to travel to and from the programme, as well as any ancillary or related activities connected to the Training.
g) Binding Effect and Severability
This agreement is binding upon the participant and, to the extent permitted by law, their heirs, executors, administrators, successors, and assigns. If any provision of this waiver is held to be unenforceable in a particular jurisdiction, such provision shall be modified or limited to the minimum extent necessary to comply with local law, without affecting the enforceability of the remaining provisions.
4. Global Privacy Policy — Data Protection and Limitation of Liability (Worldwide)
By subscribing to the Navakaraṇa website newsletter, registering a user profile, purchasing products, and/or enrolling in or participating in any Navakaraṇa Training, you confirm that you have read, understood, and agreed to this Global Privacy Policy .
Navakaraṇa respects and is committed to protecting your privacy. In the course of providing its services, Navakaraṇa may collect and process personal data, including but not limited to name, email address, telephone number, and social network profile information, as well as payment-related information necessary to complete transactions.
Navakaraṇa does not use, rent, sell, or share personal data with third parties for interest-based or behavioural advertising. Personal data is processed solely for legitimate operational, educational, administrative, and communication purposes related to Navakaraṇa services.
Navakaraṇa makes reasonable and appropriate efforts to implement technical and organisational security measures suitable to the level of risk associated with the processing of personal data. However, no method of transmission or storage of data can be guaranteed to be 100% secure. By registering, purchasing, or participating in Navakaraṇa Trainings, you acknowledge and accept the inherent risks associated with the electronic processing and storage of personal data.
To the fullest extent permitted by applicable law, you agree that Navakaraṇa, the Teacher, the Company, and the Studio shall not be held liable for any unauthorised access, data breach, or fraudulent use of personal data arising from circumstances beyond their reasonable control, provided that reasonable security measures have been implemented.
Nothing in this policy limits or excludes rights that cannot be waived under applicable data protection laws, including the GDPR, UK GDPR, or other mandatory privacy regulations.
CLICK-THROUGH ACCEPTANCE
Click-Through Acceptance
By checking the box at the time of registration, you acknowledge and agree that this click-through acceptance constitutes a valid and legally binding digital agreement and has the same legal effect as a handwritten signature.
By purchasing, registering for, and/or participating in any Navakaraṇa Training, you certify that you have read, understood, and fully agreed to all Terms and Conditions set forth in this agreement. You further acknowledge that this agreement includes a release and limitation of liability, and you confirm that you are entering into it voluntarily and of your own free will, without coercion or undue influence.
GOVERNING LAW
Governing Law, Exclusive Jurisdiction, Consumer Rights & Severability
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict-of-law principles. By completing the click-through acceptance at the time of registration, purchase and/or enrolment, you expressly acknowledge and agree that the courts of Hong Kong shall have exclusive jurisdiction over any dispute, claim or controversy arising out of or in connection with this Agreement, the Training, or any related materials.
Nothing in this clause shall limit or exclude any mandatory consumer rights that cannot be lawfully waived under applicable consumer protection laws. To the extent such mandatory rights apply, this jurisdiction clause shall be enforced to the maximum extent permitted by law.
If any provision of this Agreement is held to be invalid, unlawful or unenforceable by a court of competent jurisdiction, such provision shall be severed or limited to the minimum extent necessary to render it enforceable, and the remaining provisions shall continue in full force and effect.
